1. Acceptance of Terms
By accessing or using DispatchPilot, including our website, web application, driver mobile apps, and APIs (together, "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all users of the Service, including dispatchers, drivers, administrators, and support staff.
2. Description of Service
DispatchPilot provides a comprehensive logistics management platform that includes:
- Load assignment and tracking
- Driver communication through the DispatchPilot Driver app and, where your company enables it and a driver chooses it, optional SMS
- Document management (BOL, POD, rate confirmations)
- Real-time GPS tracking, route planning and estimated arrival times
- Automated message processing
- Reporting and analytics tools
3. User Accounts
3.1 Account Creation
You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
3.2 Account Types
- Company Admin: Full access to company settings and user management
- Dispatcher: Manage drivers and loads within their assignment
- Driver: Access assigned loads and communicate with dispatch
- Accountant: Work with expenses, invoices, driver settlements, and fuel-tax (IFTA) records
- Safety: Review driver compliance, safety alerts, and incident records
- Maintenance: Manage trucks, trailers, inspections, and work orders
3.3 Account Security
You must immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage from your failure to comply with security obligations.
4. SMS Messaging Terms
SMS is an optional channel. The DispatchPilot Driver app is the primary way drivers receive load details and dispatch messages. SMS is optional. Drivers using only the app do not need SMS consent.
4.1 Consent and Opt-In
DispatchPilot sends operational SMS messages only to a driver who has chosen SMS and given explicit consent in the authenticated DispatchPilot Driver app: the driver reviews the carrier-specific disclosure, confirms the mobile number on their profile, consents, and completes a verification challenge. Having a phone number on file is not consent, and a number that has not completed this process does not receive operational SMS. Consent is not a condition of employment. Message and data rates may apply.
4.2 Message Frequency
1-20 messages per day, depending on dispatch activity. Messages relate to load assignments & updates, pickup/delivery confirmations, document upload reminders, route changes & alerts, safety compliance notices.
4.3 Opt-Out and Help
You may opt out at any time by texting STOP to any message, in the driver portal settings, or by contacting your administrator. Reply STOP to cancel or HELP for help. Declining or withdrawing SMS consent does not affect your employment or your use of the DispatchPilot Driver app. Opting out stops SMS only; your company can still reach you in the DispatchPilot Driver app.
4.4 Message Delivery
Message delivery is subject to carrier limitations and network availability. We manage delivery optimization but cannot guarantee message delivery during high-volume periods or network outages. Carriers are not liable for delayed or undelivered messages.
5. Acceptable Use Policy
You agree not to:
- Use the Service for any unlawful purpose or in violation of regulations
- Transmit harmful, offensive, or inappropriate content
- Impersonate others or provide false information
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to any portion of the Service
- Use automated systems or software to extract data (scraping), as described in Section 6.4
- Reverse engineer, decompile, or attempt to discover source code, as described in Section 6.4
- Share account credentials or allow unauthorized access
6. Intellectual Property
6.1 Our Property
The Service and its original content, features, and functionality are owned by DispatchPilot and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2 Your Content
You retain ownership of content you submit but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content in connection with the Service. Section 6.3 describes how we use documents you submit to improve the Service.
6.3 Documents You Submit and Model Training
"Documents" means the documents, photos, and images that you, your users, or your drivers submit through the Service, such as bills of lading (BOLs), proofs of delivery (PODs), rate confirmations, scale tickets, and receipts. "Derived Data" means information the Service extracts from Documents, and the corrections and confirmations your users make to that information.
You grant DispatchPilot a worldwide, non-exclusive, royalty-free license to use, copy, store, and analyze Documents and Derived Data to provide and operate the Service, and to maintain, improve, and develop DispatchPilot's models and document-understanding systems, including by using them to train and evaluate machine-learning models. Models and systems improved this way belong to DispatchPilot and may be used to provide the Service to all customers. They are not used to give other customers access to your Documents or Derived Data, except for the anonymized, combined lane rates described in Section 6.5.
Shared document layouts. The Service learns how common business documents are laid out, such as which printed label a shipper uses for its BOL number and where that number appears on the page, and uses what it learns to read documents for all customers. For this purpose we use only structural layout information: the business name and location of a shipper or receiver, printed label names, field positions, and field types. We do not use the values on your Documents, such as reference numbers, weights, dates, rates, or signatures, for shared layout learning, and other customers do not see your Documents or Derived Data.
Personal data. We minimize the personal data used to improve and train our models, and we handle personal data as described in our Privacy Policy.
Your responsibilities. You confirm that you have the rights, and have given any notices or obtained any consents required by law, to submit Documents to the Service and to grant this license.
Enterprise agreements. If you have a signed enterprise agreement with DispatchPilot that sets different terms for the use of Documents or Derived Data, those terms apply instead of this Section 6.3 to the extent they differ.
6.4 No Copying, Reverse Engineering, or Scraping
We give you access to the Service to run your business, not to study how it is built. You may not, and may not help or allow anyone else to:
- Decompile, disassemble, decrypt, or reverse engineer any part of the Service, including the driver mobile apps and the code our website sends to your browser, or try to work out its source code, models, prompts, algorithms, or data structures, except where the law expressly allows this despite this restriction
- Copy, modify, or make derivative works of the Service, its software, design, workflows, or content
- Use bots, scrapers, crawlers, or other automated tools to access the Service or collect its content or data, except through the APIs and integrations we provide and within their documented limits (search engines may index our public pages as our robots.txt file allows)
- Use the Service, or what you learn about how it works, to build, train, or improve a competing product or service, including a machine-learning model that copies its features
- Get around or disable any security feature, usage limit, or access control, or probe, scan, or test the Service for vulnerabilities without our written permission
- Rent, resell, sublicense, or give access to the Service to anyone other than your authorized users
This does not limit your right to export your own data with the Service's export features or APIs. If you believe you have found a security vulnerability, please report it to support@dispatchpilot.app instead of testing it further. Breaking this section is a material breach of these Terms: we may suspend or close the account right away (Section 11.2) and seek a court order and any other remedy the law allows.
6.5 Anonymized Lane Rates
Carriers price lanes better when they can see what a lane really pays. So when a load offer your company works in the Service is booked, or a broker declines your asking price, the Service records the lane (the pickup state, the delivery state, and the equipment type), a trip-length range, the month, the rate per mile rounded to the nearest 5 cents, whether the load was booked or declined, and how your asking price compared with the posted rate ("Lane Rate Data"). Lane Rate Data does not include your company's name, your drivers, customers or brokers, load or reference numbers, contacts, contracts, documents, or any free text.
You grant DispatchPilot a worldwide, non-exclusive, royalty-free license to combine Lane Rate Data from all customers and to use the combined data to provide lane-rate benchmarks and AI Operator pricing suggestions to customers, and to maintain and improve the Service. We give customers only combined figures for a lane, and only when at least 3 other customers contributed to that lane in the last 6 months. We never show another customer an individual entry or tell them which company it came from.
On by default, and you can opt out. A company administrator can opt out at any time in Settings, in the Data & privacy tab (the Model training card), and can opt back in there too. After you opt out, we stop recording your company's Lane Rate Data and stop providing combined lane rates to your company. Lane Rate Data recorded before you opted out stays part of the combined data, and the license in this Section 6.5 continues for it.
Enterprise agreements. If you have a signed enterprise agreement with DispatchPilot that sets different terms for Lane Rate Data, those terms apply instead of this Section 6.5 to the extent they differ.
7. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as detailed in the Privacy Policy. Section 6.3 describes how documents you submit are used to improve and train DispatchPilot's models.
8. Payment Terms
8.1 Subscription Fees
The Service is provided on a subscription basis. Fees are billed in advance on a monthly or annual basis. Refunds are available subject to our 30-Day Money-Back Guarantee (Section 8.2).
There is no setup fee. Monthly plans are billed in advance and renew each month until cancelled. Annual plans are billed in advance, once a year, and renew automatically for another year unless you cancel before the renewal date.
You may cancel at any time. Cancellation takes effect at the end of the current paid period (the current month for a monthly plan, the current year for an annual plan), and no prorated refund is given for the remainder of that period, except as provided in the 30-Day Money-Back Guarantee (Section 8.2).
8.2 30-Day Money-Back Guarantee
All new subscriptions include a 30-day money-back guarantee subject to the following conditions:
- Eligibility Period: Refund requests must be made within 30 days of your subscription start date.
- Self-Service: If your account's AI usage is within normal first-month use, you can request a full refund yourself through Settings > Billing in your dashboard.
- Higher Usage: If your AI usage is heavy (beyond normal first-month use, determined at our discretion), the self-service refund is not available; contact billing@dispatchpilot.app within the same 30 days and we will review your request. A refund in that case may be prorated to cover operational costs incurred.
- Processing Time: Refunds typically process within 5-10 business days and will be credited to your original payment method.
- Subscription Cancellation: Requesting a refund will immediately cancel your subscription and revoke access to the Service. Your data will be retained for 30 days in case you wish to re-subscribe.
8.3 Price Changes
We reserve the right to modify pricing with 30 days notice. Price changes will take effect at the start of the next subscription period.
8.4 SMS Charges
For companies that enable SMS, SMS messaging charges are included in your subscription up to specified limits. Overages may incur additional fees. Drivers and other message recipients are responsible for any carrier-imposed message and data rates.
8.5 Overage Charges
Overage Charges. Each subscription includes 350 SMS messages per active power unit per month and $50 of AI processing spend per active power unit per month. Usage beyond these limits is billed at $0.02 per additional SMS message, and AI usage above the included amount is billed at actual cost plus 20%. Overage charges appear as separate line items on your monthly invoice and reset at the start of each billing period.
8.6 Dedicated Texting Numbers
A dedicated texting number is an optional add-on for drivers who use SMS instead of the DispatchPilot driver app. Each number costs $5 per month, is billed as a separate monthly subscription from your power-unit subscription, and can be cancelled at any time.
9. Disclaimers and Limitations of Liability
9.1 Service Availability
The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted, secure, or error-free operation of the Service.
9.2 Limitation of Liability
To the maximum extent permitted by law, DispatchPilot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, use, or goodwill.
9.3 Total Liability
Our total liability shall not exceed the amount paid by you in the twelve (12) months prior to the event giving rise to the liability.
10. Indemnification
You agree to indemnify and hold harmless DispatchPilot, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.
11. Termination
11.1 Termination by You
You may terminate your account at any time through account settings or by contacting support. Termination does not entitle you to refunds for unused subscription periods, unless you are eligible under our 30-Day Money-Back Guarantee (Section 8.2).
11.2 Termination by Us
We may terminate or suspend your account immediately, without prior notice, for:
- Breach of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
- Request by law enforcement
11.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period unless legally required to maintain it.
12. Dispute Resolution
12.1 Arbitration
Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
12.2 Class Action Waiver
You waive any right to bring claims on a class, consolidated, or representative basis. Disputes must be brought on an individual basis only.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the courts in the state where DispatchPilot maintains its principal place of business.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance of the modified Terms.
15. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that comes closest to the intent of the original.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and DispatchPilot concerning the Service.
